Terms of Service

Welcome to Nexvore Technologies LLC ("Nexvore," "we," "us," or "our"). These Terms of Service ("Terms") govern your access to and use of our products and services, including DashLab360 and Startup16 (collectively, the "Services"). By accessing or using our Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.

1. Acceptance of Terms

By creating an account, accessing, or using any of our Services, you confirm that you have read, understood, and agree to these Terms and our Privacy Policy. We may update these Terms from time to time. Continued use after changes take effect constitutes acceptance of the revised Terms.

2. Eligibility

• You must be at least 13 years old to create an account.
• Users between the ages of 13 and 17 ("Minors") may use the Services only with parental or guardian consent. Minor accounts are subject to additional restrictions, including no direct access to payment or billing features.
• By using the Services, you represent that the information you provide is accurate and complete.

3. Accounts

You are responsible for maintaining the confidentiality of your account credentials. You agree to notify us immediately at contact@nexvore.com if you suspect unauthorized access to your account. We are not liable for losses caused by unauthorized use of your account.

4. Services Provided

DashLab360

DashLab360 is an AI-powered sprint biomechanics analysis platform for athletes and coaches. Users can upload sprint videos and receive analysis results, including scores, mechanic assessments, and drill recommendations. Analysis results are generated by AI models and are intended for educational and training purposes only. They are not a substitute for professional medical advice, diagnosis, or treatment.

Startup16

Startup16 is an AI-powered pre-startup validation platform. Users can submit startup concepts for AI-generated scoring, risk analysis, and framework guidance. All analysis is for informational and educational purposes only and does not constitute business, legal, or financial advice.

5. Subscriptions and Payment

• Subscription Plans: Access to certain features requires a paid subscription. Plan details, pricing, and credit allocations are described on each product's pricing page.
• Billing: Subscriptions are billed monthly. Payment is processed through our third-party payment provider (Stripe). You agree to provide accurate billing information.
• Credits: Monthly subscription credits do not roll over to the next billing period. Separately purchased credit packs do not expire while your account is active.
• Cancellation: You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period. No refunds are provided for partial billing periods.
• Price Changes: We reserve the right to modify pricing with at least 30 days' notice. Continued use after a price change constitutes acceptance.

6. SMS and Voice Communications

Certain features of the Services involve SMS text messaging and voice calls, delivered through our third-party provider Twilio.

Consent

By providing your phone number during account registration, profile setup, or when sharing content, you consent to receive transactional SMS messages and voice calls from Nexvore Technologies LLC. You expressly consent to receive autodialed or prerecorded messages at the phone number you provide. This consent is not a condition of purchasing any goods or services.

Message Types

We send service-related messages only — we do not send marketing or promotional texts. Messages may include:

• Analysis result notifications and completion alerts
• Team, roster, or family invite codes
• Account security alerts
• Appointment reminders and call status updates
• AI-generated analysis responses

Message Frequency

Message frequency varies based on your usage of the Services. DashLab360 users typically receive 1–5 messages per month. Startup16 users typically receive 2–3 messages per scheduled voice session.

Costs

Standard message and data rates from your mobile carrier may apply. Nexvore does not charge fees for sending or receiving SMS messages.

Opt-Out

You may opt out of SMS messages at any time by replying STOP to any message you receive. You may also remove your phone number from your account settings. Opting out of SMS does not affect your ability to use other features of the Services. Reply HELP for support information.

Voice Calls

Where the Services include voice call features (such as Startup16 AI interviews), by scheduling or accepting a call you consent to the recording and transcription of the call for analysis and service improvement. Call recordings are retained for 90 days and then automatically deleted. Transcripts remain active while your account exists.

7. Acceptable Use

You agree not to:

• Use the Services for any unlawful purpose or in violation of any applicable law or regulation.
• Upload content that is harmful, offensive, defamatory, or infringes on the intellectual property rights of others.
• Attempt to gain unauthorized access to any part of the Services, other accounts, or systems.
• Reverse-engineer, decompile, or disassemble any part of the Services.
• Use automated tools (bots, scrapers) to access the Services without our written consent.
• Resell, redistribute, or sublicense the Services or analysis results without authorization.
• Upload content depicting or involving minors in any inappropriate context.

8. Intellectual Property

• Our IP: All content, features, functionality, branding, and technology in the Services are owned by Nexvore Technologies LLC and are protected by U.S. and international intellectual property laws.
• Your Content: You retain ownership of content you upload (e.g., videos, text). By uploading content, you grant us a limited, non-exclusive license to process, analyze, and store that content as necessary to provide the Services.
• Analysis Output: AI-generated analysis results are provided to you for personal or coaching use. You may share results with your athletes, coaches, or team members. Systematic redistribution or commercial resale of analysis output is prohibited.

9. AI-Generated Content Disclaimer

The Services use artificial intelligence to generate analysis, scores, recommendations, and other output. AI-generated content:

• May contain errors, inaccuracies, or limitations.
• Is not a substitute for professional judgment, medical advice, or expert consultation.
• Should be reviewed and validated by qualified individuals before making decisions based on it.
• May vary in quality depending on input quality (e.g., video angle, resolution, lighting).

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEXVORE TECHNOLOGIES LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES.

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to indemnify and hold harmless Nexvore Technologies LLC, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorney's fees) arising out of your use of the Services, your violation of these Terms, or your violation of any third-party rights.

12. Termination

We may suspend or terminate your access to the Services at any time, with or without cause, and with or without notice. Upon termination, your right to use the Services ceases immediately. Sections regarding intellectual property, limitation of liability, indemnification, and governing law survive termination.

13. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Ohio, without regard to conflict of law principles. Any disputes arising under these Terms shall be resolved in the state or federal courts located in Ohio.

14. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.

15. Entire Agreement

These Terms, together with the Privacy Policy and SMS Terms & Conditions, constitute the entire agreement between you and Nexvore Technologies LLC regarding the Services and supersede all prior agreements, communications, and proposals.
